1. Agreement to Terms

1.1 Introduction

These Terms and Conditions ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you" or "Customer"), and WeaveMCP, a DBA of Sparkle Partners LLC ("Company," "we," "us," or "our"), located at:

These Terms govern your access to and use of the WeaveMCP website (weavemcp.com), the web application (console.weavemcp.com), the downloadable Weave Agent software, the Weave CLI tool, and any other related media or applications (collectively, the "Services").

By creating an account, accessing the website, or using any part of the Services, you agree that you have read, understood, and agree to be bound by all of these Terms. If you do not agree with all of these Terms, then you are expressly prohibited from using the Services and you must discontinue use immediately.

We recommend that you print a copy of these Terms for your reference.

1.2 Changes to These Terms

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time. We will alert you about any changes by updating the "Last Updated" date of these Terms. It is your responsibility to periodically review these Terms to stay informed of updates. Your continued use of the Services after the date such revised Terms are posted will constitute your acceptance of the changes.

1.3 Geographic Restrictions

The Services are intended for use only by persons and entities located in the United States. The Services are not intended for use in any jurisdiction where their use would be contrary to law or regulation.

1.4 Age Restrictions

The Services are intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to use or register for the Services.

1.5 Additional Policies

By using the Services, you also agree to be bound by our Privacy Policy, which is incorporated into these Terms. Please review our Privacy Policy at: weavemcp.com/privacy.

2. Acceptable Use

2.1 Permitted Uses

You may only use the Services for their intended purpose as an intelligent connectivity and orchestration layer. This includes, but is not limited to:

• Connecting private and public data sources to AI agents via the Weave Agent and our managed connectors.
• Managing, monitoring, and auditing connections through the WeaveMCP web application.
• Using the Weave CLI to configure and manage the Services as documented.

2.2 Prohibited Uses

You agree not to use the Services to:

• Engage in any activity that is unlawful, fraudulent, or harmful.
• Circumvent, disable, or otherwise interfere with security-related features of the Services.
• Decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Services, including the Weave Agent and Weave CLI.
• Use the Services to access or manipulate data for which you do not have explicit authorization.
• Engage in any automated use of the system, such as using scripts to send excessive requests, or using any data mining, robots, or similar data gathering and extraction tools.
• Misuse our support services or submit false reports of abuse or misconduct.

3. Subscriptions, Billing, and Cancellation

3.1 Subscriptions

The Services are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the subscription plan you select.

3.2 Billing

You must provide us with current, complete, and accurate payment information. You expressly authorize us (or our third-party payment processor, Stripe) to charge you for your chosen Subscription. By submitting such payment information, you automatically authorize us to charge all Subscription fees incurred through your account to any such payment instruments.

3.3 Price Changes

We reserve the right to change the prices for our Subscriptions at any time. Any price changes will take effect at the start of the next Billing Cycle following the date of the price change, and we will provide you with reasonable prior notice.

3.4 Cancellation

You may cancel your Subscription at any time, either through your online account management page or by contacting our support team. The cancellation will take effect at the end of the current Billing Cycle, and you will not be charged for the next cycle.

4. User Accounts and Responsibilities

4.1 Account Registration and Accuracy

You agree to provide true, accurate, current, and complete information about yourself and your organization as prompted by the registration form. If you provide any information that is untrue or inaccurate, we have the right to suspend or terminate your account.

4.2 Account Security

You are responsible for maintaining the confidentiality of your password and account and are fully responsible for all activities that occur under your account. You agree to immediately notify us at support@weavemcp.com of any unauthorized use of your password or account or any other breach of security.

4.3 Customer Data

You retain all ownership rights to the data, information, and content you process through the Services ("Customer Data"). You are solely responsible for the accuracy, legality, and integrity of your Customer Data. You grant us a worldwide, non-exclusive, royalty-free license to use, process, transmit, and display your Customer Data as necessary for us to provide the Services to you.

5. Intellectual Property and Software License

5.1 Our Content

The Services and all of their content, features, and functionality (including but not limited to all software, databases, text, graphics, logos, and designs) are the exclusive property of the Company and its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes, subject to these Terms.

5.3 Software License (Weave Agent & CLI)

We grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Weave Agent and Weave CLI software ("Software") on systems under your control, solely for the purpose of accessing and using the Services in accordance with these Terms. You may not use the Software for any other purpose.

6. Disclaimer of Warranties & Limitation of Liability

6.1 No Warranties

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SERVICES' CONTENT. FURTHER, WE DISCLAIM ANY RESPONSIBILITY FOR ISSUES ARISING FROM YOUR INFRASTRUCTURE, INCLUDING BUT NOT LIMITED TO THE CONFIGURATION OF YOUR PRIVATE NETWORK, DATABASES, OR THE ENVIRONMENT IN WHICH THE WEAVE AGENT IS DEPLOYED.

6.2 Limitation of Liability

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

6.3 Maximum Liability

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING, OR (B) FIVE THOUSAND U.S. DOLLARS ($5,000.00 USD).

7. Termination

7.1 Termination by You

You may terminate your account and these Terms at any time by cancelling your subscription and discontinuing use of the Services.

7.2 Termination by Us

We may, in our sole discretion, suspend or terminate your account and access to the Services at any time and for any reason, including, without limitation, for breach of these Terms, without prior notice or liability.

8. General Provisions

8.1 Electronic Communications

Visiting the Site, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically, via email and on the Site, satisfy any legal requirement that such communication be in writing.

8.2 Governing Law and Jurisdiction

These Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Colorado applicable to agreements made and to be entirely performed within the State of Colorado, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Colorado.

8.3 Entire Agreement

These Terms and any policies or operating rules posted by us on the Site or in respect to the Services constitute the entire agreement and understanding between you and us.

8.4 Severability

If any provision or part of a provision of these Terms is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.
